This Agreement ("Agreement") is entered into by and between the party providing the submission ("Provider") and the party using the submission under the "STRIPT" branding ("User").

Submission License: Provider grants User a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, distribute, display, and perform the submission provided by Provider ("Submission") in connection with the "STRIPT" branding and all sales channels, including social media.

Ownership: Provider represents and warrants that Provider is the owner of the Submission or has the necessary rights to grant the license in this Agreement.

Trademarks: User acknowledges that "STRIPT" is a trademark owned by User, and Provider agrees not to use the "STRIPT" trademark or any confusingly similar marks without User's prior written consent.

Indemnification: Provider agrees to indemnify, defend, and hold User harmless from and against any and all claims, damages, liabilities, costs, and expenses arising from or related to the Submission or Provider's breach of this Agreement.

Termination: Either party may terminate this Agreement at any time by providing written notice to the other party.

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the Submission and supersedes all prior or contemporaneous agreements and understandings, whether written or oral.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which User is located, without giving effect to any choice or conflict of law provision or rule.

Assignment: User may assign this Agreement without Provider's consent. Provider may not assign this Agreement without User's prior written consent.

Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

Headings: The headings in this Agreement are for convenience only and shall not affect its interpretation.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date Provider submits the Submission.
